In a deal estimated to be in the region of $46 million, IHS Inc., the leading global source of information and analytics, has acquired IMS Research, a leading independent provider of market research and consultancy services to the global electronics industry. The addition of IMS Research enables IHS to begin a comprehensive process of product and service expansion in the technology, media and telecommunications sectors. IMS Research provides premium research with proprietary data and in-depth market insight to original equipment manufacturers (OEMs), component manufacturers and systems suppliers in the global electronics industry. IMS Research is based in Wellingborough U.K, and currently operates with a team of 140 employees in offices in the U.K., U.S., China, Japan, South Korea and Taiwan.

First Advantage Litigation Consulting (U.S) has acquired DLR Legal (U.K)

First Advantage Litigation Consulting, a leader in eDiscovery services and a Symphony Technology Group company, has recently announced the acquisition of London-based DLR Legal, a global managed review services firm with project experience in the UK, Germany, Switzerland, Belgium and dozens more. As an outcome of the deal, DLR’s network of over 1,000 attorneys and legal translators will enable First Advantage to offers its clients a more comprehensive end-to-end solution. Moreover, the addition of DLR to the First Advantage portfolio provides the opportunity for extended geographic market reach and a wealth of European clients. Key to DLR’s success has been a carefully vetted network of attorneys which enables DLR to match lawyers with specialized subject matter and industry expertise to specific client requirements. Capita Symonds (U.K) has acquired Northcroft (U.K)

Capita Symonds, the property and infrastructure consultancy, have recently announced the acquisition of construction consultancy Northcroft. Financial terms of the deal were not disclosed. Established in 1840, Northcroft employs over 150 staff members in 10 UK offices, and provides cost and project management services across a wide range of sectors. As a result of the deal, Northcroft will join Capita Symonds’ Management division, one of the UK’s largest project delivery consultancies. The division is currently project managing the new Library of Birmingham and the international establishment of new stores for Mulberry, and has played a key role in delivering major schemes such as MediaCity UK and Riverside Museum, Glasgow. The deal formalizes a long working relationship between the two companies; the most notable collaborative project being their shortlisted joint bit for Crossrail Project Delivery Partner in 2009. The acquisition is a timely one for Capita Symonds as they seek to scale-up their operations in preparation for the return to growth of the UK economy.

NEXEO (France) has acquired EONIA Consulting (France)

In a deal estimated to be in the region of $2.7 million, the French financial and IT consulting firm NEXEO has recently announced the entire acquisition of its domestic counterpart EONIA Consulting, a firm of 20 employees working in a complementary field to its buyer. NEXEO was advised by the M&A firm Firmalliance. The newly combined company will begin operations with a joint turnover of $16 million, with EONIA Consulting having recorded revenues of $3.2 million in 2011.

PwC (U.K) has acquired Logan Tod & Co. (U.K)

It has recently been announced that the global accounting firm PwC is set to acquire Logan Tod & Co., Europe’s leading digital analytics and performance optimization consultancy based in London, in a deal that is designed to enhance PwC’s consumer offering. Logan Tod & Co has built up a strong network of client relationships, having worked with over 160 clients across four key sectors: retail and consumer, media and B2B, banking and finance and travel and leisure. It currently operates with approximately 50 employees. Financial terms of the deal were not disclosed.

AddVANTE (Spain) has acquired SCA Legal (Spain)

The deal strengthens AddVANTE’s presence in the capital. SCA offers advice in a broad range of legal specialities and serves clients from its offices in Madrid, Rio de Janeiro, Sao Paulo, and Buenos Aires. These clients will provide AddVANTE’s market footprint, providing them with the sufficient means to broaden its influence in other Spanish-speaking countries in South America. The deal is estimated to be in the region of $1.3 million.

Fugro (Netherlands) has acquired EMU (U.K)

The Netherlands-headquartered Fugro, a leading provider of services related to the collection and interpretation of the earth’s surface and sub-surface data, as well as services and consultancy in support of land or coastal infrastructure development, has recently announced its acquisition of EMU, an independent marine survey and environmental consultancy special with annual revenues of over $26.7 million. Based in Southhampton, it also has premises in Portsmouth, Edinburgh, Dinard and Perth and operates with a team of 150 highly qualified and experienced surveyors, oceanographers and marine environmental scientists. The company conducts ecological, geophysical, sediment sampling and hydrographical surveys, laboratory analysis, and provides environmental consulting and reporting services. These additional services will further enhance Fugro’s ability to provide fully-integrated solutions that run from concept to completion. Financial terms of the acquisition were not disclosed in the press release.

R & R Partners (U.S) has acquired Phase Line Strategies (U.S)

It has recently been announced that the Las Vegas-based advertising-public relations market leader R & R Partners has acquired the communications and consulting firm Phase Line Strategies, based in Denver. Following the deal, the acquired company will be rebranded R&R Denver and Sean Tonner, founder and president of Phase Line Strategies will serve as its managing director. R & R Partners will benefit greatly from this acquisition; Phase Line Strategies being well equipped to offer a more extensive range of services within the marketing and communications sector. The Denver office will be a useful add-on to its existing offices in Las Vegas, Los Angeles, Phoenix, Salt Lake City, Reno and Washington, D.C. Financial terms of the deal were not disclosed.

NCI (Canada) has acquired YourPrivacy (Canada)

It has recently been announced that NCI, a leading provider of IT security services, has acquired YourPrivacy, a consulting firm that assists Canadian enterprises comply with privacy regulations. The addition of YourPrivacy to NCI brings a complementary suite of services to the company’s existing governance, risk and compliancy services, payment card industry data security standard validation assessments and IT security solutions. YourPrivacy was established in 2002 to address a growing need for organizations to implement assurance practices and process in order to protect their customer’s personal information. As a result of the acquisition, NCI will be better equipped to offer clients a single, end-to-end resource that can help them establish a well-rounded strategy to manage all critical areas of IT security. Genivar Inc. (Canada) has acquired Smith Carter Architects and Engineers (Canada)

Genivar Inc., a leading Canadian engineering and professional consulting firm, has recently announced the acquisition of its Canadian counterparts Smith Carter Architects and Engineers, based in Winnipeg (where Genivar already has an engineering and planning office). Following the deal, Smith Carter’s CEO Scott Stirton will lead Genivar’s burgeoning architecture practice. Formed in 1947, Smith Carter has built a strong, international reputation in recent years on the grounds of its complex health care, scientific and bio-containment lab design facilities, which includes Winnipeg’s National Microbiology Lab. Moreover, with approximately 200 employees based in offices in Winnipeg, Calgary, Ottawa, Atlanta and Washington, D.C., the addition of Smith Carter to Genivar’s books effective doubles Genivar’s operating capacity in the architecture sector. Headquartered in Montreal, Genivar is a publicly traded company with more than 5,500 employees working in offices across Canada and the United States. GAI Consultants Inc. has acquired Metz and Associates LLC.

It has recently been announced that the employee-owned GAI Consultants, Inc., an engineering and environmental consulting firm based in Pittsburgh, has acquired Metz and Associates, LLC., in a move designed to broaden its range of services in the transportation sector and to strengthen its design-build capabilities. Metz markets itself as a ‘boutique’ bridge engineering firm and is currently located in Oviedo, Florida. Founded in 1995, it has more than 17 years of structural engineering experience and is a specialist provider of design-build, value engineering and other construction-phase design pursuits. As part of the deal, Metz will operate as Metz and Associated, LLC, a GAI Company, and will continue to serve its clients while also pursuing subconsultant opportunities with GAI. Later in the year, Metz will relocate its staff to the GAI building in downtown Orlando. The deal follows GAI’s January acquisitions of Real Estate Research Consultants, Inc. and Lee Simpson and Associates, meaning that GAI has more than tripled its domestic presence during the past decade. It currently operates 25 offices nationwide.

Royal Haskoning (Netherlands) has announced merger with DHV (Netherlands)

The two engineering consultancies Royal Haskoning and DHV have announced their intention to merge, to create an independently owned global engineering consultancy. Following the deal, the newly combined company will be one of Europe’s leading independent project management, engineering and consultancy service providers and will rank globally in the top-ten non-listed companies. It is expected the company will be given the brand name Royal Haskoning DHV, with its headquarters to be based in Amersfoot in the Netherlands with 8,000 staff. These employees will deliver solutions to clients in the planning and transport sectors, as well as delta and water technology, maritime, aviation, industry, energy and infrastructure. It is estimated the merger will have a turnover in excess of $933 million. The deal is strategically designed on behalf of both companies to extend their reach and build an unrivalled pool of resources. The transaction (estimated to be around $933 million) will be a merger of equals; consequently the new company will remain independent and wholly trust-owned.

Rejlers (Norway) has acquired TeliaSonera Norway AS (Norway)

The technical, energy and electrical engineering consulting firm Rejlers has recently announced they have entered into an agreement to acquire mobile telecommunications company TeliaSonera Norway AS for the sum of $10.5 million, with the deal becoming effective from 1 May 2012. The acquired consultancy and service-led firm includes approximately 40 employees; following the acquisition these professionals will supplement Rejlers existing telecommunications branch of 20 personnel. TeliaSonera will benefit from Rejler’s international network, experience and expertise, outsourcing its field operations to Rejlers. The deal confirms an already strong working relationship between the two companies, with Rejlers’ business portfolio set to expand and improve following the acquisition.

TRC Companies Inc. (U.S) has acquired EORM’s East Region Operations (U.S)

It has recently been announced that TRC Companies Inc., the national engineering, consulting and construction management firm, has entered into an agreement to acquire all assets from EORM’s East Region Operations based in Davers, Massachusetts. EORM is a leading provider of environmental, health, safety and sustainability (EHS) consulting services based in San Jose, California, with services ranging from assessment, compliance and risk management to reporting, training and communication. The addition of their expertise will undoubtedly strengthen TRC’s environmental management and sustainability service offerings: an area they are keen to expand due to potential growth opportunities within this market sector. This strategic partnership leverages the geographic locations and consulting knowledge bases of TRC’s and EORM’s offices to generate added depth and market reach for both firms. CBIZ Inc. (U.S) has acquired Dow Lohnes Price (U.S)

The business and financial consulting firm CBIZ, Inc. has recently announced that it is expanding its National State and Local Tax Practice with the acquisition of the six-member state tax consulting group Dow Lohnes Price, based in Greenville, South Carolina. The acquired company provides state tax consulting services for corporate business entities and was formerly a non-legal affiliate of the Washington D.C.- based law firm Dow Lohnes, PLLC. Following the deal, the group will continue its operations from its Greenville base, but will be integrated into the CBIZ National State and Local Practice, which is headed up by Craig Williams, CBIZ’s National State and Local Tax Practice Leader. Thus, as a result of the deal, CBIZ will benefit from an extended geographical market reach, as well as add a deeper pool of services. Itineris (Belgium) has acquired Crimson Oak Consulting (U.S.)

Headquartered in Ghent, Belgium, Itineris, the IT application consultancy, has recently announced the acquisition of Crimson Oak Consulting, a company based in Georgia, U.S.A. that provides consulting services to the energy, gas and water industrial sectors. This acquisition signals a new phase of intended strategic growth within the company; as about six months ago, both of Itineris’ CEOs Edgard Vermeersch and ParticipatieMaatschappij Vlaanderen (PMV) invested $5.9 million in the company to support its growth plans. Through the acquisition of Crimson Oak Consulting, Itineris makes significant steps towards making their presence felt within the North American utility market. Moreover, with the addition of their range of services, Itineris will be better placed to support its current, as well as future, clients. Following the deal, Crimson Oak Consulting will now service the U.S. and Canadian utility markets under the company name and logo of Itinieris. Crimson Oak Consulting will also benefit from the partnership, as they now have the means to offer Itineris’s unique software solution UMAXTM, which has the capacity to adapt to new market regulations, meet smart metering demands and provide advanced levels of customer service. Financial terms of the deal were not disclosed, yet Itineris did announce they are looking for another 45 technical and business professionals to bolster its teams, which currently stand as a combined workforce of 200 employees. 

Emperor (U.K) has acquired Tsuko (U.K)

It has recently been announced that Top Ten U.K design company Emperor (a private limited company) has acquired brand agency Tsuko, in their bid to launch a new brand consultancy division that will complement its corporate communications and digital offerings. With over 200 clients, including Stagecoach, Cunard, Man Group and Cairn Energy, Emperor is one of the largest corporate reporting consultancies with an ever-expanding full service digital capability. This constitutes Emperor’s first major acquisition but perhaps hints at plans for further expansion. As a result of the deal, all of Tsuko’s employees will transfer from their Edinburgh and London bases to Emperor’s headquarters, as they plan to create a newly combined entity. Emperor has grown organically over the past decade to employ more than 90 people in London, Birmingham and Edinburgh. Following the deal, Susanna Freedman, Founder and Managing Director of Tsuko, will join the board of Emperor and head up the brand division. The addition of Tsuko to Emperor’s business portfolio will undoubtedly broaden their depth of expertise, as Tsuko’s focus on brand awareness and brand engagement will enrich their research. NDE Global (Germany) has acquired Proweld (Australia)

NDE Global Technical Services has recently announced the acquisition of IQHES Pty Limited, (trading as Proweld Training and Inspection – “Proweld”), a leading Australia-based provider of technical inspection, training and consultancy to the oil and gas, mining and heavy engineering sectors. Proweld’s clients in these industries utilize Proweld during the construction and procurement stage of their projects to ensure that quality and safety standards relating to welding and material joining are achieved. Following the deal, Anthony Squire, Proweld´s founder and Managing Director, will assume the role as Technical Director of NDE Australia Pty Limited ("NDE Australia") and lead the development and growth of NDE´s Vendor Inspection services to the Australian market. As well as Proweld’s service offering, the expanded NDE Australia brand of the business will be well equipped to offer a comprehensive package of engineering quality assurance related services to the Australian market. MATIS (France) has acquired Group CSIE

MATIS, a leading technology consultancy based in France, with approximately 1,400 employees, has recently acquired its local competitor Group CSIE. The acquired company offers IT system, telecommunications and industrial engineering consulting and services, and operates with a workforce of 300 employees. The addition of CSIE provides MATIS with the opportunity to expand their electronics and IT portfolio, particularly within the aerospace, defense and automative telematics sectors, fields in which CSIE has gained considerable influence. The deal will also bring with it an enlarged client base, particularly in the South-West region of France. Hogan Lovells advised MATIS on the deal, which is estimated to be in the region of $39.5 million, while CSIE was advised by Landwell.

Gallagher (headquartered in Itasca, Illinois) has recently announced its acquisition of Human Resource Management Systems LLC. of Naperville, Illinois. Financial terms of the deal were not disclosed. Established in 1997, Human Resource Management Systems LLC. is an employee benefit insurance broker that offers a broad range of employee benefits products and consulting services to their North American clients. Their focus is on group health, life, long and short-term disability, dental, retirement planning, human resource services and program administration. As a result of the deal, Dan Rigby and his associates will continue to operate in their current location under the direction of William Ziebell, North Central Regional Executive Vice President of Gallagher's employee benefit consulting and brokerage operations.

Premier Alliance Group Inc. (U.S) has acquired GreenHouse Holdings Inc. (U.S)

Acando (Sweden) has acquired Bitec Oy (Finland)

The Swedish firm Acando has recently announced the acquisition of Finnish consultancy Bitec, a specialist provider of mobile phone solutions. The acquisition provides Acando with a strong platform from which to expand its mobile technology projects in Finland and other Nordic countries. The addition of Bitec to the Acando enterprise means that Acando will be better equipped to offer its clients a greater wealth of diverse and innovative solutions and services in the mobile technology sector. Bitec Oy develops B2B applications and services for various mobile platforms and the Web, with its central area of expertise related to mobile solutions and their implementation in corporate business systems. One of their key aims is to achieve a high degree of user friendliness. Bitec’s five consultants will all transfer to Acando as a result of the deal. The acquisition of Displaybank will help IHS maximize their market influence, adding new strands of expertise in the fields of technology, media and telecommunications information and analysis. Rule Financial (U.S) has acquired Waterline Group (Canada)

As a result of the deal, Waterline Group will be fully absorbed into Rule Financial and will operate under the Rule Financial brand henceforth. Grand Speed Holdings (Hong Kong) has acquired Sundynasty International Limited (Hong Kong)

It has recently been announced that Oriental Ginza has entered into an agreement with Grand Speed Holdings (Hong Kong) to dispose of the entire issued share capital of Sundynasty International Limited for $0.5 million in cash. Oriental Ginza can expect to net a profit of $5.6 million upon completion of the sale. The Sundynasty group offers comprehensive retail-related consultancy and management services, covering a variety of different areas, from development and planning consultancy services for shopping malls to advertising and promotion consultancy services. The disposal provides the opportunity for the Group to re-align its business focus to the development of the property project in the PRC, which was acquired through the acquisition of Easy Linkage Development Limited.

Carefusion (U.S) has acquired PHACTS LLC (U.S)

Onepath Systems (U.S) has acquired Confiance IP Solutions (U.S)

Confiance is a Silver-Certified Cisco Partner, Cisco Master Managed Services Partner and an EMC Velocity Affiliate Elite Partner, and has gained recognition for their advanced consulting services that help their clients incorporate high-end technologies into their core business. The merger with Onepath Systems will enable them to reach a broader audience with their products and services, including their popular and unique network and system infrastructure monitoring service, Guardian. Moreover, as a result of the deal, the newly combined companies with have 200 employees on board, with a more extended geographical footprint. Financial terms of the deal were not disclosed.

Tibco (France) has acquired Capaciti (France)

Capaciti specializes in IT consulting, engineering and infrastructure systems. The firm operates with a 40 members of staff, and generates annual revenues of $8.6 million. The deal will broaden Tibco’s portfolio services, helping it to maintain a secure market position.

Gfk (Germany) has acquired Bridgehead International (U.K.)

In a deal reported to be in the range of $15.8 million, Gfk, one of the world’s largest research organizations with annual revenues of $1.7 billion, has announced the complete acquisition and integration of Bridgehead International, (operating henceforth as Gfk Bridgehead) a leading market access consultancy serving global companies in the pharmaceutical, medical device and diagnostics industries. The transaction signals a drive to invest and expand its global healthcare business, as well as to support clients’ needs for strategic support across increasingly complex market access landscape. By harnessing Bridgehead’s expertise, Gfk will be in a strong position to focus on a fundamentally important research area within the healthcare industry. As well as this, as a result of the deal, Gfk will build upon Bridgehead’s global player panel and the firm’s U.S. online portal, which provides critical insight into the views of nearly 200 paying clients. Bridgehead, which generated sales of $16 million in 2011, will continue to maintain and grow its staff numbers following the deal. They currently operate with a total of 60 employees, working in offices in Melton Mowbray and London in the U.K., as well as Boston, San Francisco and New York City in the U.S.

It has recently been announced that San Francisco-based Force By Design Inc. will extend their market presence following a merger with xLerate, a consulting partner to Canada’s Silver Salesforce.com. xLerate is headquartered in Ottawa. The merger of these salesforce.com partners will result in a powerful hub of service cloud knowledge and expertise, leveraging the skills and specialties of both companies. Absoft (U.K) has acquired Hexarus Consulting (U.K)

The Scottish company and SAP partner Absoft has recently announced the completion of its first acquisition with the purchase of the Hexarus Consulting, based in Warrington, U.K. The deal signals the start of its push towards a period of major growth. Hexarus Consulting is a specialist provider of performance management and business intelligence solutions, based in SAP BusinessObjects technology. For the last financial year, the firm recorded turnover of $3.5 million. Following the deal, the acquired company, which has a team of 10 senior consultants, will retain its own identity, operating under the umbrella of the Absoft Group. The acquisition is a key step to enhancing Absoft’s capabilities within the area of BusinessObjects services. Absoft currently employees 90 members of staff; following the addition of the Hexarus team, this will expand to more than 100 employees across the UK.

Columbus (Denmark) has acquired First Tech Direct (U.S)

It has recently been announced that IT Partner Columbus (headquartered in Denmark) has acquired First Tech Direct, a leading manufacturing consultancy based in the U.S. The deal is in line with Columbus’ strategy to expand and strengthen its global influence and reputation within the manufacturing industry. As a result of the transaction, Columbus is set to integrate First Tech Direct’s software solutions with a focus on providing the global auto industry with world class manufacturing capabilities. SRK Consulting (U.S) has merged with SVS Ingenieros (Peru)

SRK Consulting has recently announced a merger with Lima-based firm, SVS Ingenieros, in a deal that will increase SRK’s influence within Peru’s expanding mining industry. As part of the transaction, SRK Global will own 30% of SVS and senior SVS shareholders will hold an equivalent investment in SRK Global. SRK, one of the world’s largest diversified resources consulting companies, has enjoyed a strong working relationship with SVS for about twenty years: the merger will concretize this more formally. The merger with SVS will provide SRK with an invaluable platform from which to add new services and clients. SVS’s strong portfolio of services in areas such as tailings, environment and rock mechanics will be complimentary add-ons to SRK’s existing mining and geology skills. The deal follows a period of gradual expansion in the Latin American markets for SRK, having opened offices in Mexico and Argentina in 2011, in addition to their offices in Chile and Brazil. SVS currently operates with about 130 members of staff. As a result of the merger, SVS will retain its name initially but within five years will change its working identity to SRK Consulting.

Presidio Inc. (U.S) has acquired BlueWater Communications LLC. (U.S)

It has recently been announced that the Maryland-headquartered Presidio Inc., a leading provider of professional and managed services for advanced IT solutions, has acquired Bluewater Communications LLC, a service provider of high-performance, holistic IT infrastructure solutions to growing companies. The deal is reported to be in the region of $92 million. Following the acquisition, the senior executive team at Presidio also welcomed industry veteran, Bob Cagnazzi, CEO of Bluewater, as the new Chief Executive Officer of Presidio Inc. Presidio is owned by American Securities LLC and management and currently employs over 2,000 IT professionals working in more than 50 offices across the United States. Considering Presidio and BlueWater both deliver purpose-built solutions that address the entire technology lifecycle, their complimentary business outlook will ensure a smooth delivery of services. Planex Communications (Japan) has acquired EMCOM Consulting (Japan)

Bilfinger Berger (Germany) is to acquire Tebodin (Netherlands)

German construction company Bilfinger Berger is set to acquire Dutch consultancy and engineering company Tebodin from Royal BAM Group nv. The deal has a total cash consideration of approximately $191 million, with BAM and Bilfinger Berger expected to close the transaction in the second quarter of 2012. In November 2011, BAM began making steps to selling Tebodin after deciding to focus on its core business activities and to strengthen its financial position. The transaction is expected to generate a book profit of $85.7 million; however the proceeds will be primarily used to reduce the BAM Group’s net debt. Tebodin is an independent, multi-disciplinary consulting company and engineering firm with annual turnovers of $277 million in 2010 and a large network of offices in West Central and Eastern Europe, the Middle East, Asia and Africa. The addition of Tebodin to Bilfinger Berger is a strategic one, designed to serve as the basis for the establishment of a new subgroup at Bilfinger Berger in the area of engineering and technologies. The acquisition is also important as Bilfinger Berger will profit from Tebodin’s extensive client list in the process industry, primarily the oil and gas sectors, as well as clients in the chemicals industry, energy production sector and in environmental technology.

DHV (Netherlands) has merged with Royal Haskoning (Netherlands)

Wise Group Finland Oy (Finland) has acquired Nexon Consulting (Finland)

In a deal estimated to be in the region of $4 million, it has recently been announced that the construction firm Wise Group Finland Oy has acquired a majority stake in Finnish research, engineering, construction and design services provider Nexon Consulting. The acquisition is expected to close by the end of March 2012. Established in 2002, Nexon Consulting’s annual turnover is approximately $4 million and employs over 35 specialists. Following the deal, Nexon Consulting will continue to operate under its own name. Wise Group has only been in existence two years but has grown rapidly, having acquired Ylimäki & Tinkanen Ltd, Kontermo Ltd, Projectman Ltd and KCC Kouvola Consultancy Ltd, which were all merged in 2011 into its parent company. Wise Group’s net sales in 2011 were approximately $17 million and the company now employs 165 people in the areas of planning and construction.

BrainSell Technologies (U.S) has acquired Evenhouse Consulting (U.S)
